Since 1986, I have practiced as a business lawyer, working with entrepreneurs and business owners to help them accomplish succession transactions in their businesses, including:

asset sales, stock sales or mergers to outside third parties

My passion is helping entrepreneurs and business owners obtain successful results with The Most Important Transaction of Their Life – the ownership transition of their business. I help my clients understand and craft imaginative alternatives and strategies to prepare for and accomplish a successful business succession transaction. I am flexible in my approach, which is necessary when dealing with the multiple issues and potential roadblocks that can pop up in such an important transition. My clients have owned and operated a wide variety of businesses, from low to high-tech, professional services, virtual, and bricks-and-mortar (see Past Transactions).

I started my law career at Bancroft, Avery & McAlister in San Francisco, where my clients were privately owned companies with multiple owners. I started my own practice in 1992, with a goal to help smaller private companies that could not or would not access legal services at a large law firm. In 1994, at the insistence of my wife, I returned to the East Coast, settling in Massachusetts, where I soon met and joined up with Roger Glovsky, and we formed Glovsky & Koenig, P.C. We were totally involved in the start-up company legal ecosystem and my practice moved towards representing venture-backed technology companies. After the dot-com bust, I got back to general business law, and since 2008, I have focused my practice on ownership transitions in later stage companies. As I’ve gotten older, my clients have also gotten older (funny how that is), and they are more interested in working on the impending or eventual transfer of ownership of their businesses. I am licensed to practice law in Massachusetts, California, and New Hampshire.
